Affiliate Agreement
Version 2026-10 · Effective October 2026
This affiliate program is a simple referral program, not network marketing or an MLM. Just people helping kids.
1. Parties and Purpose
This Affiliate Agreement (the "Agreement") is entered into between Creative Business Solutions Texas LLC (DBA Help Support Our Schools) ("Company," "we," or "us") and the individual or entity submitting an affiliate application ("Affiliate" or "you").
The Company operates a fundraising program that offers Restaurant.com Dining Rewards Memberships, with a portion of proceeds supporting local school PTAs, PTOs, and Dad's Clubs. The Affiliate will promote the program using a unique referral link or code and earn commission on qualifying purchases.
2. Approval and Enrollment
All affiliate applications are reviewed by the Company. Submission of an application does not guarantee approval. The Company may approve, decline, or suspend any affiliate at its sole discretion.
Upon approval, the Company will assign the Affiliate a referral code or link tied to the Affiliate's account. The Affiliate may not assign or transfer their affiliate status or referral code without written consent.
3. Affiliate Obligations
The Affiliate agrees to promote the program honestly and in compliance with all applicable laws and regulations. The Affiliate will not misrepresent the program, the products, the donation amount, or the relationship with Restaurant.com or any school.
The Affiliate will not engage in deceptive advertising, spam, unsolicited bulk email, false endorsements, or any practice that could harm the reputation of the Company, Restaurant.com, or the participating schools.
The Affiliate must disclose their affiliate relationship in any promotional content that contains a referral link, in a clear and conspicuous manner consistent with Federal Trade Commission guidance and applicable state law.
4. Prohibited Practices
The Affiliate will not bid on the Company's name, "Restaurant.com," or related trademarks in paid search advertising without prior written consent.
The Affiliate will not use their own referral code to receive commission on their own purchases, or circumvent the program by directing customers to purchase outside the tracked referral link.
The Affiliate will not create websites, social profiles, or materials that imitate or impersonate the Company, Restaurant.com, or any school.
5. Commissions and Payment
The Affiliate earns commission on completed, non-refunded purchases attributed to their referral code or link. The commission rate, payment schedule, and minimum payout threshold are set by the Company and may be updated from time to time. The current rate will be provided to the Affiliate upon approval.
Commission is not earned on orders that are refunded, charged back, or canceled. The Company may adjust or claw back commission previously credited on such orders. Because customers have a 24-hour refund window, commissions are paid on a weekly cycle so that cancellations and chargebacks are captured before payout.
Payments are made in U.S. dollars via the method specified by the Company on a weekly basis, with a $50 minimum payout threshold; a balance below $50 carries forward to the following week. The Affiliate receives a weekly breakdown of the commission accrued on their account. The Affiliate is responsible for any taxes owed on commission earned and will provide any tax documentation the Company reasonably requires.
6. Reporting and Tracking
The Company will make referral activity and commission reports available to the Affiliate through a dashboard or periodic statement. The Company's records of referrals and commissions are the authoritative source for commission calculations, subject to correction for errors or fraud.
7. Intellectual Property and Trademarks
The Company grants the Affiliate a limited, non-exclusive, revocable license to use approved marketing materials, logos, and trademarks solely to promote the program during the term of this Agreement.
Restaurant.com is a registered trademark of its owner. The Affiliate acknowledges that Restaurant.com terms govern all Dining Rewards Memberships, redemption, and expiration. The Affiliate will not represent that the Company or the Affiliate controls Restaurant.com product terms.
8. Term and Termination
This Agreement begins on the Affiliate's approval date and continues until terminated by either party. Either party may terminate this Agreement at any time, with or without cause, upon written notice.
Upon termination, the Affiliate will stop using all referral links, codes, and Company marketing materials. Commission earned on qualifying purchases completed before the effective date of termination will be paid in the normal course, subject to the terms of this Agreement.
9. Disclaimer and Limitation of Liability
The program is provided on an "as is" basis. The Company does not guarantee any level of purchases, commissions, or results from affiliate activity.
To the fullest extent permitted by law, the Company's total liability to the Affiliate under this Agreement is limited to the total commission paid or payable to the Affiliate in the three months preceding the claim. The Company is not liable for indirect, incidental, or consequential damages.
10. Independent Contractor
The Affiliate is an independent contractor, not an employee, agent, or partner of the Company. Nothing in this Agreement creates an employment, joint venture, or agency relationship. The Affiliate is responsible for their own costs, equipment, and compliance.
11. Modifications
The Company may update this Agreement from time to time. The Company will notify active affiliates of material changes. Continued use of the referral link or code after the effective date of a change constitutes acceptance of the updated Agreement.
12. Governing Law
This Agreement is governed by the laws of the State of Texas, without regard to its conflict of laws principles. Any dispute arising under this Agreement will be resolved in the courts located in the county where the Company maintains its principal place of business.
By submitting an affiliate application, you acknowledge that you have read and agree to be bound by this Agreement. This is a template agreement provided for reference; the Company may provide a signed version upon approval.
